Terms of Service

These Terms of Service ("Terms") govern your access to and use of NexEd ERP's platform, mobile applications, APIs, and related services ("Services"). By using our Services, you agree to these Terms in their entirety.
1. Acceptance of Terms
- By accessing or using NexEd ERP's services, you agree to be bound by these Terms of Service and our Privacy Policy.
- If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
- We reserve the right to modify these terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect.
2. Account Registration
- You must provide accurate, complete, and current information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You must notify us immediately of any unauthorized access to your account.
- You may not share your account credentials or allow multiple individuals to use a single user license.
3. Subscription & Billing
- NexEd ERP operates on a per-app, per-user subscription model. Pricing is as displayed on our pricing page at the time of purchase.
- Subscriptions are billed monthly or annually, depending on your chosen billing cycle.
- Annual subscriptions receive a 20% discount compared to monthly billing.
- Volume discounts apply automatically: 15% off for 3+ modules, 25% off for 5+ modules.
- All fees are non-refundable except as expressly stated in these terms or required by applicable law.
- We may change our pricing with 30 days' notice. Price changes will apply at the start of your next billing cycle.
4. Free Trial
- New accounts receive a 14-day free trial with full access to all features and modules.
- No credit card is required to start a free trial.
- At the end of the trial period, you must select a paid plan to continue using the services.
- Data created during the trial will be preserved when you upgrade to a paid plan.
5. Acceptable Use
- You agree not to use our services to violate any applicable laws or regulations.
- You may not attempt to gain unauthorized access to any part of our systems or infrastructure.
- You may not use our services to transmit malware, spam, or other harmful content.
- You may not reverse engineer, decompile, or disassemble any part of our software.
- You may not use our services to compete with NexEd ERP or build a competing product.
- We reserve the right to suspend or terminate accounts that violate these terms.
6. Data Ownership & Portability
- You retain all ownership rights to the data you input into NexEd ERP.
- We do not claim any intellectual property rights over your business data.
- You may export your data at any time in standard formats (CSV, JSON, PDF).
- Upon account termination, your data will be available for export for 30 days.
- After the 30-day export period, your data will be permanently deleted from our systems.
7. Service Level Agreement
- We guarantee 99.9% uptime for all paid plans, measured on a monthly basis.
- Scheduled maintenance windows are excluded from uptime calculations and will be communicated at least 48 hours in advance.
- If we fail to meet the 99.9% uptime guarantee, you are eligible for service credits as follows: 99.0–99.9% = 10% credit, 95.0–99.0% = 25% credit, below 95.0% = 50% credit.
- Service credits must be requested within 30 days of the incident.
8. Intellectual Property
- NexEd ERP and its licensors retain all rights, title, and interest in the platform, including all software, designs, trademarks, and documentation.
- Your subscription grants you a limited, non-exclusive, non-transferable license to use the services during the subscription term.
- Feedback and suggestions you provide may be used by NexEd ERP to improve the platform without obligation to you.
9. Limitation of Liability
- To the maximum extent permitted by law, NexEd ERP's total liability shall not exceed the amount you paid for the services in the 12 months preceding the claim.
- NexEd ERP shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- NexEd ERP shall not be liable for any loss of data, revenue, profits, or business opportunities.
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).
10. Termination
- You may cancel your subscription at any time through your account settings.
- Monthly subscriptions will remain active until the end of the current billing period.
- Annual subscriptions may be cancelled for a prorated refund within the first 30 days.
- We may terminate your account for material breach of these terms after providing 14 days' written notice and an opportunity to cure.
- Upon termination, your right to use the services ceases immediately, but your data export rights remain for 30 days.
11. Governing Law & Disputes
- These terms are governed by the laws of India, without regard to conflict of law principles.
- Any disputes shall be resolved through binding arbitration under the rules of the Indian Arbitration and Conciliation Act.
- The arbitration shall take place in Kochi, Kerala, India, or remotely at the parties' mutual agreement.
- Nothing in these terms prevents either party from seeking injunctive relief in a court of competent jurisdiction.
